Master Terms and Conditions

1. Agreement

These Terms and Conditions (“Terms”) constitute a legally binding agreement between ASANTe INC., together with its affiliates, subsidiaries, successors, assigns, licensors, and authorized service providers (“ASANTe,” “Company,” “we,” “our,” or “us”), and any individual or entity (“User,” “you,” or “your”) accessing or using any ASANTe products, applications, websites, software, APIs, platforms, or related services (collectively, the “Platform”).

By accessing, downloading, registering for, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree, you must immediately discontinue use of the Platform.

2. Definitions

For purposes of these Terms:

Account means a registered user profile.

AI Services means any artificial intelligence, machine learning, recommendation, automation, search, or personalization functionality made available through the Platform.

Business User means an entity or individual using the Platform to promote products, services, events, campaigns, or business activities.

Community Content means all content voluntarily submitted by Users.

Customer means an individual using the Platform to discover businesses, nonprofits, events, promotions, or rewards.

GoLocal Maps means the location-based business and community discovery services provided by ASANTe.

Nonprofit Organization means an organization using the Platform to promote its mission, events, campaigns, or services.

Paid Services means subscriptions or services requiring payment.

Platform means all ASANTe applications, websites, APIs, software, digital services, and related technologies.

TCards means digital appreciation or engagement cards created through the Platform.

TCredits means promotional digital reward units issued within the Platform ecosystem.

User Content means any information, text, images, logos, events, reviews, promotions, comments, or other materials submitted by Users.

3. Eligibility

The Platform is intended for individuals sixteen (16) years of age or older.

Users under eighteen (18) years of age represent that they possess all legally required permissions necessary to use the Platform.

Business Users and Nonprofit Organizations represent that they possess authority to bind the organization they represent.

4. Platform Services

ASANTe provides an AI-enabled technology platform that facilitates:

  • business discovery;
  • nonprofit discovery;
  • local event promotion;
  • community engagement;
  • digital rewards;
  • loyalty programs;
  • GoLocal Maps;
  • calendar services;
  • promotional campaigns;
  • TCards;
  • TCredits;
  • AI-powered recommendations;
  • enterprise services; and
  • related functionality.

ASANTe operates solely as a technology platform and does not manufacture, provide, guarantee, endorse, supervise, or control products, services, promotions, events, or activities offered by Users.

5. User Accounts

Users may create an Account by providing accurate registration information.

Users agree to:

  • provide truthful information;
  • maintain current information;
  • safeguard login credentials;
  • promptly notify ASANTe of unauthorized access.

Users remain responsible for all activities occurring under their Accounts.

ASANTe may suspend or terminate Accounts at its sole discretion for violations of these Terms or applicable law.

6. Business Accounts

Business Users represent and warrant that:

  • they possess authority to create the Account;
  • all listings are accurate;
  • promotions comply with applicable law;
  • advertised offers will be honored;
  • they possess all required licenses and permits.

Business Users remain solely responsible for customer interactions, taxes, pricing, warranties, refunds, products, and services.

7. Nonprofit Organization Accounts

Nonprofit Organizations represent and warrant that:

  • they are authorized organizations;
  • they possess authority to create the Account;
  • all published information is accurate;
  • campaigns comply with applicable law.

ASANTe does not verify nonprofit legal status unless expressly stated.

8. AI Services

The Platform may include artificial intelligence, machine learning, search, recommendation, personalization, summarization, automation, or similar technologies.

AI-generated recommendations are provided solely for informational purposes.

Users remain solely responsible for evaluating all recommendations before acting upon them.

ASANTe does not guarantee the accuracy, completeness, reliability, or suitability of AI-generated content.

9. GoLocal Maps

GoLocal Maps provides public business and nonprofit listings.

ASANTe does not guarantee:

  • listing accuracy;
  • business availability;
  • operating hours;
  • event schedules;
  • promotions;
  • customer experiences.

Users should independently verify all information.

10. TCards

Users may create and send TCards through the Platform.

Users remain solely responsible for all messages and content transmitted through TCards.

ASANTe reserves the right to remove content violating these Terms.

11. TCredits

TCredits are promotional digital units intended solely for use within the Platform.

TCredits:

  • are not currency;
  • are not securities;
  • are not cryptocurrency;
  • are not investment instruments;
  • possess no ownership rights;
  • possess no guaranteed cash value;
  • may expire or be modified by ASANTe.

ASANTe may modify redemption rules at any time.

Certain Platform features may require payment.

Subscription fees, transaction fees, and other charges will be disclosed before purchase.

Unless otherwise required by law:

  • subscriptions automatically renew;
  • fees are non-refundable;
  • Users remain responsible for applicable taxes.

ASANTe reserves the right to modify pricing upon reasonable notice.

13. Payment Processors

Payments are processed by independent third-party providers.

ASANTe does not collect or store complete payment card information.

Users agree to comply with applicable payment processor agreements.

14. User Content

Users retain ownership of User Content submitted to the Platform.

By submitting User Content, Users grant ASANTe a worldwide, perpetual, non-exclusive, transferable, sublicensable, royalty-free license to:

  • host;
  • reproduce;
  • display;
  • distribute;
  • modify;
  • adapt;
  • publish;
  • index;
  • analyze;
  • translate;
  • improve;
  • promote; and
  • operate

such User Content solely in connection with providing, maintaining, securing, improving, marketing, and developing the Platform.

Users represent that they possess all necessary rights to grant this license.

15. Intellectual Property

All Platform software, source code, databases, APIs, trademarks, service marks, logos, documentation, interfaces, graphics, architecture, and proprietary technology remain the exclusive property of ASANTe or its licensors.

Nothing contained in these Terms transfers ownership of any ASANTe intellectual property.

16. Data Ownership

Users retain ownership of their:

  • personal information;
  • business information;
  • nonprofit information;
  • uploaded images;
  • logos;
  • events;
  • promotions; and
  • User Content.

ASANTe exclusively owns:

  • Platform software;
  • APIs;
  • search algorithms;
  • recommendation engines;
  • taxonomies;
  • AI models;
  • prompt libraries;
  • ranking methodologies;
  • operational databases;
  • system architecture;
  • machine-generated intelligence;
  • aggregated analytics;
  • benchmarking information;
  • predictive models;
  • derived insights;
  • anonymized datasets;
  • statistical analyses; and
  • all derivative works created through operation of the Platform.

ASANTe may create, retain, analyze, commercialize, license, publish, and otherwise use aggregated, anonymized, statistical, benchmarked, predictive, derivative, machine-generated, or AI-generated information derived from Platform operations, provided such information does not reasonably identify an individual person or business and is processed in accordance with applicable law.

17. Feedback

Any suggestions, feature requests, recommendations, or ideas voluntarily submitted to ASANTe may be used without restriction or compensation.

18. Acceptable Use

Users shall not:

  • violate applicable law;
  • submit fraudulent information;
  • impersonate others;
  • distribute malware;
  • interfere with Platform operations;
  • scrape Platform content;
  • reverse engineer Platform software;
  • train artificial intelligence systems using Platform content without written authorization;
  • infringe intellectual property rights;
  • engage in harassment or discrimination;
  • distribute spam;
  • manipulate reviews or rankings.

19. Third-Party Services

The Platform may integrate third-party services.

ASANTe does not control or endorse third-party services and is not responsible for their availability, performance, privacy practices, or content.

20. Beta Features

ASANTe may provide experimental features.

Beta Features are provided “AS IS” without warranties and may be modified or discontinued at any time.

21. Export Compliance

Users represent they are not located in jurisdictions subject to applicable trade restrictions and are not prohibited from receiving Platform services under applicable law.

22. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASANTE DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, SECURITY, ACCURACY, AND RELIABILITY.

ASANTE DOES NOT WARRANT THAT THE PLATFORM WILL OPERATE WITHOUT INTERRUPTION OR ERROR.

23. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASANTE SHALL NOT BE LIABLE FOR:

  • lost profits;
  • lost revenue;
  • lost data;
  • loss of goodwill;
  • business interruption;
  • indirect damages;
  • incidental damages;
  • special damages;
  • consequential damages;
  • punitive damages.

ASANTE’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

(a) ONE HUNDRED UNITED STATES DOLLARS (US $100); OR
(b) THE AMOUNT PAID BY THE USER TO ASANTE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

24. Indemnification

Users agree to defend, indemnify, and hold harmless ASANTe and its affiliates, directors, officers, employees, contractors, licensors, successors, and agents from claims arising from:

  • User Content;
  • violation of these Terms;
  • violation of law;
  • infringement of third-party rights;
  • business activities conducted through the Platform.

25. Force Majeure

ASANTe shall not be liable for delays or failures resulting from events beyond its reasonable control, including:

  • natural disasters;
  • government actions;
  • cyberattacks;
  • internet outages;
  • telecommunications failures;
  • pandemics;
  • wars;
  • civil unrest;
  • labor disputes; or
  • failures of third-party providers.

26. Termination

Users may terminate their Accounts at any time.

ASANTe may suspend or terminate Accounts immediately upon violation of these Terms or applicable law.

Termination shall not affect provisions relating to:

  • intellectual property;
  • data ownership;
  • disclaimers;
  • limitation of liability;
  • indemnification;
  • arbitration; or
  • governing law.

27. Governing Law

These Terms shall be governed by the laws of the State of Maryland, United States, without regard to conflict of law principles.

28. Arbitration

Except where prohibited by law, any dispute arising from these Terms shall be resolved through binding arbitration administered under applicable commercial arbitration rules.

Users waive any right to participate in class actions or representative proceedings.

Nothing prevents either party from seeking injunctive relief for intellectual property violations.

29. Modifications

ASANTe may modify these Terms at any time.

Material modifications will become effective upon publication or other reasonable notice.

Continued use of the Platform constitutes acceptance of the revised Terms.

30. Entire Agreement

These Terms, together with the Privacy Policy and any applicable supplemental agreements, constitute the entire agreement between the User and ASANTe regarding the Platform and supersede all prior agreements or understandings.

31. Severability

If any provision of these Terms is determined to be unenforceable, the remaining provisions shall remain in full force and effect.

32. Waiver

Failure by ASANTe to enforce any provision shall not constitute a waiver of future enforcement.

33. California Users

California residents have the privacy rights described in the “California Privacy Rights” section of our Privacy Policy, including rights under the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA).

Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice: The Platform is provided by ASANTe INC. Questions or complaints about the Platform may be directed to golocalmaps@asanteinc.com. California residents may also contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
